Trading Policy for Midlands Veterinary Wholesalers

1.  General

1. No alterations or variations of these terms and conditions shall apply unless expressly agreed to in writing by an authorized member of Midlands Veterinary Wholesalers (hereinafter referred to as MVW). 

2.  Price structure

1. Products will be supplied according to a uniform trade price list.
2. Prices are subject to change without notice.
3. Prices quoted for the products, unless expressly agreed to in writing by an authorized member of MVW, are for the South African distribution only.

3.  Payment Terms

1. Credit terms are strictly 30 days net from date of statement.
2. The granting, continuation and termination of credit facilities, if any, shall be within the sole discretion of MVW.
3. No discounts or allowances, other than those specifically agreed to in writing by an authorized member of MVW, may be deducted from the net amount.
4. Credit limits are subject to review on a regular basis.
5. Interest on overdue accounts will be charged at a rate of 2% of the outstanding amount, per month.
6. The Customer shall pay all bank charges levied on MVW as a result of cheques issued by the Customer to MVW that are returned by the bank marked “refer to drawer”.
7. The Customer shall pay any costs incurred by MVW as a result of any breach by the Customer of these conditions or any failure by it to pay any amount on due date on the scale as between attorney and client, whether or not action is instituted.  Such costs shall include any collection commission, which MVW is required to pay to its attorneys as well as any VAT or other levies incurred as a result of any action taken by MVW.
8. Unless the Customer objects in writing to the balance outstanding, which appears on all monthly statements of the Company, within 15 (fifteen) days from date of statement, the balance which appears on the statement shall be prima facia proof of the amount due and owing, whilst if in dispute, the burden of proof shall rest with the Customer to prove that such amount is not due and owing to the Company.

4.  Delivery

1. All distribution for the company has been outsourced and will be done through the Agents designated by the Company.
2. All orders placed prior to 15:30 hrs will be picked and handed over to our Agent on the same day.  No guarantee is made regarding the same day dispatch of orders placed after this cut off time.
3. All risk in and to any product supplied by the Company shall pass to the Customer upon delivery.
4. Delivery shall be deemed complete upon a receipt of signed Proof of Delivery.

5.  Claims and Returns Policy

1. All products are, subject to the provisions of clause 5.2, supplied on a non-returnable basis.
2. Claims for short or incorrect deliveries, breakages or short dated stock, will only be considered if reported to the Company within 24 hours of the receipt of the product by the Customer.
3. All product returns are subject to prior approval by MVW.
4. In no circumstances shall goods be accepted for return, if the containers have been opened or used, or if labels or seals are broken, or if the goods have not been kept within the specified temperatures.

6.  Orders

1. Any order received from the Customer will be binding on the Customer, notwithstanding the fact that such order may have been given or signed by a person not authorized to do so.
2. Items which are out of stock may be placed on backorder.  Such items will be delivered as soon as stocks are available.
3. MVW reserves the right to cancel backorders at any time, at their sole discretion.

7.  Acceptance Conditions

7.1   The Customer shall, by placing an order with the Company, be deemed to accept these Terms and Conditions of Trade.

7.2   These Terms and Conditions of Trade replace all previous Terms and Conditions of Trade and the Company has an absolute discretion to change these Terms and Conditions at any time and the Customer shall be bound by these changes.

1. No relaxation or indulgence which MVW may grant to the Customer shall constitute a waiver of its right to enforce strict compliance with these conditions.

8.  Liability

1. MVW accepts no liability for the product used in contravention of the instructions stated in the Package Insert.
2. The Company shall not be liable for any consequential loss or damage of any nature whatsoever sustained by the Customer.

9.  Ownership of Product

• Ownership vests in MVW and shall not pass to the Customer until full payment of all amounts outstanding has been received.

Our terms are strictly 30 days for approved clients who qualify, in accordance with Government Regulations... r.e. the distribution of scheduled drugs, and have made an application to MVW.
